Partner Terms & Conditions

By creating an account or using the MarketEntryLeads.com platform, you agree to these Partner Terms & Conditions.

1. DEFINITIONS

  • Platform: The MarketEntryLeads website, software, and related services
  • Partner: An approved service provider using the Platform
  • Company: A business seeking international expansion services
  • Introduction: A facilitated connection between a Partner and a Company
  • Partner Agreement: The agreement defining applicable commission rates

2. THE SERVICE

2.1 What We Do

MarketEntryLeads connects qualified service providers with companies expanding internationally. Partners pay commission only when an introduced Company becomes a paying customer. There are no upfront fees.

2.2 Eligibility

Partners must be a legally registered business with appropriate licenses, insurance, and at least two (2) years of operating history.

2.3 Approval

All applications are reviewed. Access to the Platform is granted only after approval and execution of a Partner Agreement.

3. INTRODUCTIONS

3.1 Requesting Introductions

Partners may browse Company profiles and request introductions. All requests are reviewed and approved at MarketEntryLeads' discretion.

3.2 After Introduction

Once approved, contact details are shared and both parties are notified. All communication, proposals, contracts, and service delivery are handled directly between the Partner and the Company.

3.3 No Guarantee

An Introduction does not guarantee that the Company will engage the Partner's services.

4. COMMISSION TERMS

4.1 Commission Obligation

Partners agree to pay commission on all gross revenue generated from introduced Companies at the rate specified in the Partner Agreement.

4.2 Lifetime Duration

Commission applies for the entire duration of the commercial relationship, including:

  • Initial contracts and renewals
  • Additional services
  • Expansion into new countries or markets
  • Parent companies, subsidiaries, or affiliated entities with common ownership

4.3 Revenue Covered

Commission applies to all fees and revenue, including but not limited to:

  • Recurring service fees
  • Setup, onboarding, or implementation fees
  • Recruitment or placement fees
  • Insurance or brokerage-related revenue
  • Any other service-related revenue

4.4 Multi-Country Coverage

If an introduced Company later expands into additional countries using the Partner's services, commission applies to all markets, regardless of when or how such expansion occurs.

4.5 Deemed Revenue

If a Partner fails to report, delays reporting, or withholds information regarding revenue from an introduced Company, MarketEntryLeads may reasonably estimate the applicable revenue based on available information. Such estimate shall be deemed accurate unless the Partner provides clear evidence to the contrary.

5. ATTRIBUTION & LOOKBACK PERIOD

5.1 14-Day Lookback Window

A Partner may dispute attribution only within fourteen (14) days from the date the Partner requests an Introduction on the Platform. To qualify for a commission waiver, the Partner must provide written evidence showing that:

  • The Company independently contacted the Partner within that same 14-day period, and
  • Substantive business discussions were already underway (e.g. dated emails, meeting records, proposals).

If verified by MarketEntryLeads, commission for that specific Company will be waived.

5.2 Contacts Older Than 14 Days — Commission Applies

If the Company contacted the Partner more than fourteen (14) days prior to the Introduction request date, commission applies in full and without exception, regardless of:

  • Prior conversations or relationships
  • Informal discussions
  • Direct outreach by the Company
  • Claims of independent discovery

Any contact, discussion, or relationship older than 14 days does not negate attribution and does not affect the Partner's commission obligation.

5.3 Final Attribution

If no valid dispute is raised within the 14-day lookback period, attribution becomes final and permanent, and commission applies for the entire duration of the relationship.

Summary: Only Company contacts occurring within the 14-day lookback window may qualify for a commission waiver; all earlier contacts are fully commissionable.

6. REPORTING & PAYMENT

6.1 Payment Timing

Commission payments are due within fifteen (15) days of the Partner receiving payment from the Company.

6.2 Monthly Reporting

Partners must submit a monthly revenue report by the 5th of each month detailing:

  • Introduced Company name
  • Revenue received
  • Payment date
  • Commission owed

6.3 Late Payments

Late payments may incur a 5% monthly late fee and may result in account suspension.

7. VERIFICATION & AUDITS

7.1 Client Verification

MarketEntryLeads may request confirmation of whether an introduced Company became a client. Partners must respond within seventy-two (72) hours.

7.2 Audit Rights

MarketEntryLeads may audit relevant records with reasonable notice to verify commission accuracy. Any underpaid commission must be paid promptly, together with reasonable audit-related costs.

8. PARTNER OBLIGATIONS

Partners agree to:

  • Provide professional services in compliance with all applicable laws
  • Maintain required licenses and insurance
  • Respond to Companies in a timely manner
  • Keep Company information confidential

Partners may not structure, split, rename, route, or invoice services, contracts, or fees in any manner intended to reduce or avoid commission obligations.

9. TERMINATION

9.1 Termination by Partner

Partners may terminate this agreement with thirty (30) days' written notice.

9.2 Termination by MarketEntryLeads

MarketEntryLeads may terminate immediately for non-payment, material breach, fraud, or misuse of the Platform.

9.3 Effect of Termination

Termination does not affect commission obligations for Companies introduced prior to termination. Reporting and payment obligations related to introduced Companies survive termination and continue for as long as commission remains payable.

10. LIABILITY, DISPUTES & ENFORCEMENT

10.1 Limitation of Liability

To the maximum extent permitted by law, MarketEntryLeads shall not be liable for any indirect, incidental, consequential, or speculative damages arising from use of the Platform, any Introduction, or the Partner's services.

10.2 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Brazil. The parties agree that the courts of São Paulo, Brazil, shall have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms, the Platform, or any Introduction.

10.3 Enforcement of Commission Payments

MarketEntryLeads expressly retains the right to initiate legal proceedings in the courts of São Paulo to:

  • Enforce payment of unpaid or underpaid commissions
  • Recover interest, reasonable collection costs, and legal fees

arising from any breach of these Terms.

10.4 No Class Actions

All claims must be brought on an individual basis only. Class, collective, or representative actions are waived to the extent permitted by law.

10.5 Independent Contractors

The parties act as independent contractors. Nothing in these Terms creates a partnership, agency, or employment relationship.

11. GENERAL

  • These Terms and the Partner Agreement constitute the entire agreement
  • MarketEntryLeads may update these Terms with thirty (30) days' notice
  • Any invalid provision shall not affect the remaining provisions
